Background

NRAI (National Registered Agents, Inc) is the third largest national Registered Agent service firm. NRAI provides a registered office and the forwarding of service of process, tax and regulatory compliance materials, and official correspondence and communications.

The Problem

For most Fortune 2000 companies, complying with state renewal reporting, filing and fee payment is a nightmare. This bad dream is compounded when a firm does business in all U.S. jurisdictions and has subsidiary entities conducting business in multiple states.

There is no uniformity among states’ filing requirements – each state has its own. The range for filing is every year to every ten years. Some states have a fixed calendar due date for filing a report, others base it on the entity’s anniversary date, fiscal year end, or even whether the last digit of their State ID Number is odd or even. To add to the confusion, many states require different filings and different due dates based on entity type: C or S Corps, LLC, LP, or not-for-profit.
Finally, it is not uncommon for states to change their statutes yearly to reflect a different method for determining the due dates of the reports.
Failing to file a timely return in a state can result not only in a significant late fee or reinstatement fee, but in the business falling out of good standing and losing the regulatory basis for doing business there.

The Solution

NRAI teamed up with Mind Over Machines to create a Tax Calendar that solves the problem of Secretary of State reporting compliance. The rules for which filings are due in which states on what dates are handled through Tax Calendar’s powerful due date engine, which a non-technical Tax Calendar administrator keeps up to date through an easy-to-use web interface. A Tax Calendar user can run web reports of the entities’ required filings and due dates, with the ability to export the results to Excel. A robust email reminder system reminds users in advance of when reports are due.
